1. Introduction

Welcome to CardWaka (the "Platform"), a digital gift-card exchange service operated by TRADEWOLF LIMITED ("Company", "we", "us", or "our"). By accessing or using the Platform — including our website, mobile application, and any related services — you ("User", "you") agree to be bound by these Terms of Service ("Terms"). Please read them carefully before using the Platform.

2. Eligibility

You must be at least 18 years of age and have full legal capacity to enter into a binding agreement under the laws of your jurisdiction in order to use the Platform. By using the Platform you represent and warrant that you meet these requirements. The Platform is intended for users located in Nigeria and other supported West African countries. Users from jurisdictions where the use of such a service is prohibited by law are not permitted to access the Platform.

3. Account Registration & Identity Verification

To access trading features, you must register an account by providing accurate, current, and complete information including your legal name, phone number or email address, and payout details. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.

We reserve the right to request identity verification (KYC) at any time, including but not limited to: government-issued ID, proof of address, and selfie verification. Failure to complete verification when requested may result in suspended trading privileges or account termination.

4. Gift Card Trading Services

CardWaka provides a platform for users to submit gift cards (including but not limited to Apple, Amazon, Steam, and Google Play) in exchange for local currency payouts. All transactions are subject to the following:

• Exchange rates are dynamic and are determined solely by TRADEWOLF LIMITED. Rates displayed at the time of submission are indicative and may change before final approval.
• All submitted gift cards are subject to verification and fraud screening. TRADEWOLF LIMITED reserves the right to reject any transaction that fails verification.
• Only gift cards that are valid, unused (or partially unused as declared), and legitimately obtained are eligible for submission. Cards obtained through fraudulent, stolen, or unauthorised means will be rejected and may be reported to relevant authorities.
• Once a gift card has been submitted and accepted, the transaction is final and the card balance is non-refundable.

5. Payouts

Upon successful verification and approval of a trade, TRADEWOLF LIMITED will initiate a payout to the bank account or mobile wallet linked to your CardWaka account. We aim to process payouts promptly; however, payout timelines may vary due to bank processing times, public holidays, or other circumstances beyond our reasonable control.

TRADEWOLF LIMITED is not responsible for delays or failures caused by incorrect payout details provided by the User. You are solely responsible for ensuring your payout details are accurate and up to date.

We reserve the right to withhold payouts pending fraud investigation or regulatory compliance review without prior notice.

6. Rewards, Referrals & Promotional Events

CardWaka offers various incentive programmes including daily check-in rewards, referral bonuses, and weekly trading events. These programmes are offered at the sole discretion of TRADEWOLF LIMITED and may be modified, suspended, or terminated at any time without notice. Rewards have no cash value unless explicitly stated and may not be transferred or exchanged. Any attempt to abuse, manipulate, or exploit reward programmes will result in immediate forfeiture of all accumulated rewards and may result in account suspension.

7. Prohibited Activities

You agree not to engage in any of the following activities:

• Submitting fraudulent, stolen, or illegally obtained gift cards.
• Using the Platform to launder money or engage in any form of financial crime.
• Impersonating another person or entity, or providing false identification information.
• Attempting to reverse-engineer, scrape, hack, or otherwise tamper with the Platform.
• Creating multiple accounts to circumvent limits, bans, or for the purpose of abuse.
• Using automated bots or scripts to interact with the Platform without prior written consent from TRADEWOLF LIMITED.
• Violating any applicable local, national, or international laws or regulations.

TRADEWOLF LIMITED reserves the right to suspend or permanently terminate any account that engages in prohibited activities, and to pursue all available legal remedies.

8. Intellectual Property

All content, trademarks, logos, software, and materials on the Platform are the intellectual property of TRADEWOLF LIMITED or its licensors and are protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable licence to access and use the Platform solely for its intended purpose. You may not reproduce, distribute, modify, or create derivative works without prior written permission from TRADEWOLF LIMITED.

9. Disclaimer of Warranties

The Platform is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. TRADEWOLF LIMITED does not warrant that the Platform will be uninterrupted, error-free, secure, or free of viruses or other harmful components.

10. Limitation of Liability

To the maximum extent permitted by applicable law, TRADEWOLF LIMITED, its directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, or loss of goodwill, arising out of or in connection with your use of or inability to use the Platform, even if TRADEWOLF LIMITED has been advised of the possibility of such damages.

In no event shall TRADEWOLF LIMITED's total aggregate liability to you for all claims exceed the total amount paid by you to TRADEWOLF LIMITED in the six (6) months preceding the event giving rise to the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless TRADEWOLF LIMITED and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with your use of the Platform, your violation of these Terms, or your violation of any rights of a third party.

Your use of the Platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you consent to the collection, use, and processing of your personal data as described in the Privacy Policy.

13. Amendments

TRADEWOLF LIMITED reserves the right to modify these Terms at any time. We will notify users of material changes via the app, email, or by updating the "Last Updated" date above. Your continued use of the Platform after such changes constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must discontinue use of the Platform.

14. Termination

TRADEWOLF LIMITED may suspend or terminate your account and access to the Platform at any time, with or without cause, and with or without notice. Upon termination, all rights granted to you under these Terms will immediately cease. Any pending verified payouts at the time of termination will be processed in accordance with our standard payout procedures unless the termination was due to fraudulent or illegal activity, in which case payouts may be withheld pending investigation.

15. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any dispute arising out of or in connection with these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, the dispute shall be submitted to binding arbitration in Lagos, Nigeria, in accordance with the Arbitration and Conciliation Act (Cap A18 LFN 2004) as amended. Notwithstanding the foregoing, TRADEWOLF LIMITED reserves the right to seek injunctive or other equitable relief in any court of competent jurisdiction.
